Terms

Terms of Service.

The agreement for using NightShiftAgents for your business.

Effective September 11, 2026

These Terms of Service (the “Terms”) are a binding agreement between NightShiftAgents LLC, a Georgia limited liability company based in Decatur, Georgia (“NightShiftAgents,” “we,” “us,” or “our”), and the business or organization accepting them (“Customer,” “you,” or “your”). By buying, accessing, or using the service, you agree to these Terms and our Privacy Policy. If you accept for a company, you represent that you are authorized to bind it. The service is for business use by people at least 18 years old, not personal, family, or household use.

Orders and the agreement

Your checkout page, order form, or written proposal identifies the package, price, billing period, and included services. It is part of these Terms. If an order conflicts with these Terms, the order controls only for that conflict. Additional customer purchase-order terms do not apply unless we sign them. We may use qualified employees and contractors to provide the service.

What you are buying

A configured installation of scheduled software agents on a computer you control, based on your intake, plus ongoing operation, monitoring and support at the tier you choose. The install fee covers the setup. The monthly fee covers keeping it running, the portal, the briefs, the approval system and the review calls included in your tier. Features and capacity depend on your order. We may make reasonable service changes that do not materially reduce the service you purchased.

What we owe you

  • First agent live within ten business days of the install call, or we say why not in writing.
  • A morning brief on every day at least one agent is scheduled.
  • Plain notice, in the next brief, whenever an agent fails or a source is unreachable.
  • Every approval-gated action held until you answer. No exceptions in the approval list.
  • No figure reported that was not pulled from a source at report time. Unreachable sources are labeled unavailable.

What you owe us

  • Accurate intake answers and a company file you have actually read.
  • Working logins for the accounts you want the agents to use, and the right to grant them.
  • Answers to approval cards within a reasonable time. An unanswered card means the action does not happen. That is by design, and the consequences of not answering are yours.
  • Payment on time. Install fee at the install call. Monthly fee from the day your first agent goes live.

Accounts, access, and security

You are responsible for your authorized users, the security of your devices and accounts, and the accuracy and legality of instructions, data, and permissions you provide. Keep credentials private, use appropriate access controls, and promptly tell us through the contact page about suspected unauthorized use. You authorize us to access connected systems only as needed to provide support and the configured service. We do not need or ask you to send us account passwords.

Acceptable use

You may not use the service to:

  • Break the law, violate another person’s rights, or process data you lack authority to use.
  • Send spam, deceptive communications, malware, or content that is unlawful, abusive, or discriminatory.
  • Bypass safeguards, approval rules, usage limits, access controls, or security testing restrictions.
  • Probe, disrupt, reverse engineer, resell, or make the service available to third parties except as your order allows.
  • Use outputs as the sole basis for high-impact decisions about employment, housing, lending, insurance, health care, or legal rights.

We may investigate suspected misuse and suspend affected access when reasonably necessary to protect customers, systems, or the public.

Pricing

Prices are shown before purchase and are in U.S. dollars unless stated otherwise. You authorize our payment processor to charge the payment method on file for one-time fees, recurring fees, applicable taxes, and authorized plan changes. Monthly subscriptions renew automatically until canceled. Plan changes take effect when requested and may create a prorated charge or credit shown by the billing portal. Failed payments may cause suspension. Except where law or your order requires otherwise, fees already paid are nonrefundable. You are responsible for taxes other than taxes on our net income. If we change a recurring price, we will give advance notice before it applies.

Cancelling

You can manage or cancel through the billing portal before the next renewal. Cancellation takes effect at the end of the paid billing period. Full portal access ends then; files remain available as described in your plan, and files already on your computer remain yours. The install fee is nonrefundable after installation work or the install call begins. Either party may terminate for a material breach not cured within 10 days after written notice, or immediately for unlawful use, security risk, insolvency, or a breach that cannot be cured. We may preserve records required by law or reasonably needed to resolve disputes and enforce these Terms.

What the agents are not

  • Not a licensed professional. Nothing they produce is legal, tax, medical, insurance or financial advice. Where a task needs a license, they draft and a licensed human decides.
  • Not a guarantee of results. We do not promise revenue, rankings, leads or savings. Any number on a page of ours that looks like a promise is a sample, and is labeled as one.
  • Not a replacement for your judgment. You approve. You can decline anything.

Artificial intelligence and review

AI-generated output can be incomplete, inaccurate, or similar to output generated for others. You must review output before relying on it or sending, publishing, filing, paying, or acting on it. Approval controls reduce risk but do not replace your review. You remain responsible for your use of output and for complying with laws, professional rules, contracts, and platform terms that apply to your business.

Ownership and licenses

As between us, you retain ownership of your data and, to the extent allowed by law, files produced specifically for you. You give us a limited, nonexclusive license to process your data solely to provide, secure, support, and improve the service as described in the Privacy Policy. We retain all rights in the service, software, templates, methods, documentation, and general know-how. We may use feedback without restriction, but will not identify you publicly without permission. No rights are granted except those stated here.

Confidentiality

Each party will protect the other party’s nonpublic business information using reasonable care and use it only for this agreement. This does not cover information already known without restriction, independently developed, lawfully received from another source, or public through no breach. A party may disclose information when legally required after giving notice when the law permits.

Third-party services

The service may connect to providers you choose, including email, calendar, payment, advertising, hosting, and AI services. Their terms, availability, security, and decisions are outside our control. You authorize the connections you select and are responsible for maintaining those accounts. We are not liable for third-party service failures or changes, but we will use reasonable efforts to identify a failed connection in your brief or portal.

Service warranty and disclaimer

We warrant that we will provide the service in a professional and workmanlike manner. Your exclusive remedy for breach of that warranty is re-performance of the affected service; if we cannot reasonably re-perform it, we will refund the prepaid fees for the affected period. Except for that express warranty and to the maximum extent permitted by law, the service and outputs are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, and any warranty arising from course of dealing. We do not warrant uninterrupted, error-free, or completely secure operation or any particular business result.

Limits of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits, revenue, goodwill, or data, even if advised they were possible. Our total aggregate liability arising from the service or these Terms will not exceed the fees you paid us in the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law or to your payment obligations, infringement or misuse of our intellectual property, or either party’s fraud or willful misconduct.

Indemnity

To the extent permitted by law, you will defend and indemnify NightShiftAgents LLC and its personnel from third-party claims, damages, and reasonable costs arising from your data, your unlawful or unauthorized use of the service, your breach of these Terms, or your violation of another person’s rights. We will promptly notify you and allow you to control the defense, subject to our right to participate with our own counsel. You may not settle a claim in a way that admits our fault or imposes obligations on us without written consent.

Your data

Yours. See the privacy policy. We take no ownership of anything the agents read or produce on your machine, and no license to it beyond what is needed to run the service.

Governing law

Georgia law governs these Terms without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The specific forum and dispute-resolution procedure will be governed by any signed order or later legal addendum. Nothing here prevents either party from seeking urgent court relief to protect systems, confidential information, or intellectual property.

General terms

Neither party is liable for delay caused by events beyond its reasonable control. You may not assign these Terms without our written consent; we may assign them in connection with a merger, financing, reorganization, or sale of the business. The parties are independent contractors. If a provision is unenforceable, the rest remains effective. A waiver must be in writing and is not a continuing waiver. These Terms, the Privacy Policy, and your order are the entire agreement about the service and replace prior discussions. Provisions that by their nature should survive termination do survive, including payment, ownership, confidentiality, disclaimers, liability limits, indemnity, and general terms.

Changes to these terms

We may update these Terms. If a change materially reduces your rights, we will give reasonable advance notice by email or in the service. The updated Terms will show a new effective date. Changes needed for law, security, or abuse prevention may take effect sooner. Continued use after the effective date means you accept the updated Terms; if you do not agree, stop using and cancel the service.
